Michigan Business Guide

    Michigan Business Name Availability

Four separate checks decide whether you can actually use a business name in Michigan. Most people only do one of them.

    Quick Answer

How do I check if a business name is available in Michigan?

Search the name in LARA's free Business Entity Search. If no active Michigan entity has the same or a confusingly similar name, it is likely available. Michigan compares the distinctive part of a name, so adding 'LLC', a comma, or 'the' does not make a taken name usable. Also check your county clerk for assumed names, and search the USPTO for trademarks. The name is only secured when your formation document is accepted by LARA.

Check 1: the state entity database

Start with LARA's Business Entity Search, because that is the database an examiner will compare your filing against. Search broadly on purpose — you are looking for anything close, not just an exact match.

    • Search the full name, then the distinctive word on its own
    • Try plurals, hyphens removed, and obvious misspellings
    • Note the status of anything similar: a dissolved entity is less of an obstacle than an active one
    • Ignore 'LLC' and 'Inc.' — those designators are not what distinguishes a name

Check 2: the confusingly similar rule

Michigan does not just block identical names. A filing can be rejected because the name is too close to an existing one, and that judgment is made by a LARA examiner when your document is reviewed. This is the step that catches people out after they have already printed signage.

    • Reordered words are usually still too close ('Lakeside Roofing' vs. 'Roofing Lakeside')
    • Sound-alikes and alternate spellings are commonly rejected
    • Adding a generic word ('Services', 'Group', 'Company') often does not create enough difference
    • Changing the distinctive word is what actually clears a conflict

    Check 3: county assumed names

Sole proprietors and general partnerships in Michigan file their assumed name (DBA) with the county clerk, not the state. Those filings never appear in LARA's database, so a clean state search does not mean nobody in your county is trading under the name.

    • Call or search your county clerk's assumed name index
    • County DBA filings are separate in every county, so a neighbouring county may have its own
    • LLCs and corporations file assumed names at the state level instead, for $25
    • A county DBA does not give you exclusive rights statewide

    Check 4: trademarks

State approval and trademark rights are completely separate systems. LARA can accept your name and a trademark owner can still stop you from using it, which matters most when the name is going on a brand, a product, or a website.

    • Search the USPTO trademark database for the name and close variants
    • Also search plain web results — unregistered common-law rights can exist from use alone
    • The risk rises the more distinctive the name and the wider the market
    • Clear Path prepares federal trademark applications if you want to protect the name yourself

    Locking the name in

Availability is a snapshot, not a reservation. Someone else can file the same name the day after your search, so close the gap between checking and filing.

    • LLC: file Articles of Organization (Form CSCL/CD-700), $50 — filing is what secures the name
    • Corporation: file Articles of Incorporation, $60 and up depending on authorized shares
    • Corporations can reserve a name with LARA for a fee if they are not ready to file
    • File promptly; do not order signage, domains, or printing before the filing is accepted
